Welcome to DoLegal. DoLegal is a company operating in the fields of legal technology and artificial intelligence, developing technological solutions designed to automate and manage legal and business processes. Our mission is to simplify legal work through technology and artificial intelligence, enhance its efficiency, and support users in making more effective legal decisions.

Please read these Terms and Conditions (Terms) carefully before using our platform and services.

1. The Agreement and Definitions

1.1. Key Definitions

Before reviewing the terms of this Agreement, please note the core definitions used throughout this document:

  • Provider: DoLegal (referred to as we, us, or our), which delivers the platform capabilities.
  • Customer: The specific individual, sole proprietor (individual entrepreneur), or legal entity that registers an account and uses our Services (referred to as "Customer," "you," or "your").
  • Consumer: a natural person who acts for purposes outside their trade, business, craft or professional activity.
  • Business Customer: a natural person or legal entity that uses the Services for business, commercial or professional purposes. In such cases, the respective natural person shall be subject to the provisions applicable to legal entities and sole proprietors.
  • Authorized User: a User authorized by the Customer to access the Platform and use the applicable functions of the Services.
  • Workspace: a dedicated environment created on the Platform for the Customer, within which the Customer and its Authorized Users may access the available Services and manage documents, tasks and other content.
  • Services: The complete operational toolkit provided through our cloud platform. This encompasses end-to-end Agreement and legal document lifecycle management, templates made by lawyers for professional use, automated template generation, task management features, secure electronic signatures, cooperative review logic, internal approval routing workflows, AI-assisted analysis of user-uploaded text, milestone alerts, background data storage, API connections, and any technical onboarding support we offer.
  • Customer Data: Any information, file attachments, custom Agreement templates, or raw text uploaded, processed, or developed within the platform by you or your authorized users.
  • Controller: The person that determines the purposes and means of processing personal data. DoLegal acts as the Controller where it processes personal data for purposes determined by DoLegal in connection with the provision of its Services.
  • Processor: The person that processes personal data on behalf of and in accordance with the instructions of the Controller. DoLegal acts as the Processor where it processes personal data on behalf of the Customer and in accordance with the purposes and means determined by the Customer.

The terms, rules, policies, instructions, guidelines, procedures, and other documents or conditions published on the DoLegal Platform or website, or otherwise made available to the Customer, may form an integral part of these Terms to the extent applicable to the relevant Services.

Such documents, terms, rules, and provisions shall apply together with these Terms and form an integral part thereof, unless expressly provided otherwise therein.

1.2. Capacity and Authority

These Terms establish a legally binding relationship between DoLegal and you.

If you register for an individual practice, a freelance operation, or as a sole trader, you accept these responsibilities in your personal capacity.

If you establish an account on behalf of a company, partnership, or corporate group, you confirm and warrant that you hold the explicit corporate authority to bind that entity to this Agreement.

1.3. Agreement Components and Order of Precedence

Depending on your organizational status and subscription method, your complete agreement with us incorporates multiple legal components. If there is ever an explicit conflict or contradiction between these documents, they will rule in the following order of priority:

  • The Data Processing Agreement (DPA); then
  • Your specific Subscription Plan or approved Order Form; then
  • These general Terms and Conditions.

Note on Data Protection: If you are an individual using the platform for purely personal or household activities, data protection laws apply to us as a Controller under our Privacy Policy. For entities, freelancers, sole traders, and business users processing third-party data, the DPA is automatically incorporated into these Terms upon account creation.

The order of precedence among the documents shall not apply where its application would result in the restriction, exclusion, or reduction of any mandatory rights or guarantees provided under applicable law, including applicable consumer protection legislation. Such rights and guarantees shall apply irrespective of the order of precedence established under these Terms or any other document.

2. Duration and Termination

2.1. Agreement Activation

This Agreement shall enter into force upon: (i) the User's completion of the applicable action required to accept the Terms and, where applicable, the activation of the relevant Subscription or Service; or (ii) the execution of an authorized Order Form, depending on the applicable method of acquiring the Services.

2.2. Term Length and Automatic Renewal

Unless terminated earlier under the rules below, the Agreement runs for the initial period written in your chosen Subscription Plan or Order Form (the Initial Period). Upon expiration, this agreement automatically extends for consecutive terms equal in length to the Initial Period (each a Renewal Period) unless:

  • Either party provides the other with a clear written notice of non-renewal at least 30 days before the current term expires; or
  • The Agreement is cancelled earlier according to the specific provisions of these Terms.
  • In the event of the automatic renewal of Services purchased by a Consumer, DoLegal shall provide the Consumer with clear and accessible prior notice of such renewal at least 30 days before the automatic renewal takes effect, specifying the renewal period, applicable fees, and other material terms. The Consumer shall have the right to cancel or object to the automatic renewal within 30 days of receiving such notice.

2.3. Cancellation for Cause and Material Breach

Either party may end this agreement immediately by delivering written notice if the other party commits a serious, material violation of these terms and fails to correct that violation within 30 days of receiving a written warning detailing the breach.

2.4. Suspension and Termination for Non-Payment

DoLegal reserves the right to suspend platform access or terminate the agreement entirely if you fail to settle your open balances, provided the account remains past due 14 days after we issue a formal notice of non-payment.

2.5. Consequences of Agreement Conclusion

The moment this Agreement is ended for any reason:

  • You must immediately settle all outstanding fees accumulated up to the official termination date;
  • All software usage rights, access credentials, and platform licenses end immediately, and you must cease using the services; and
  • Any provisions within this Agreement that naturally protect long-term business interests (including liability caps, indemnities, confidentiality, and governing law) will remain fully active.

2.6. Post-Termination Data Retention and Deletion

Following termination of the Agreement or deactivation of the Customer's account, the Customer shall have a period of 60 days to download or export its Customer Data from the Platform in the standard electronic formats supported by the Platform at that time.

If the Customer's account remains active or the Customer has any outstanding payment or other contractual obligations, the period for retention of and access to the Customer Data may be extended until such obligations have been fully discharged or the account has been finally deactivated.

Upon expiry of the applicable period, DoLegal may delete copies of the Customer Data whose further retention is no longer necessary for the provision of the Services, the performance of contractual or legal obligations, or the establishment, exercise, or defence of legal claims.

At the same time, DoLegal may retain and use properly anonymized and non-identifiable data derived from content created or processed by the Customer on the Platform for statistical, analytical, and technical purposes, as well as for the development and improvement of DoLegal's artificial intelligence systems, models, and services, provided that such data no longer constitutes personal data and cannot reasonably be linked to a specific individual or Customer.

3. Services

3.1. Scope of the Platform

The Platform provides a range of cloud-based functionalities designed to support document workflows, automation, document lifecycle management, and other legal and business processes. The specific functionalities available to the Customer shall depend on the applicable Subscription Plan, Order Form, or other applicable service arrangement and may be subject to the usage limits and conditions specified therein.

3.2. Performance Standard

DoLegal shall use reasonable commercial skill and care to maintain and provide the Platform and Services in accordance with generally accepted industry practices.

The Platform may from time to time become temporarily unavailable, experience interruptions, delays, errors, or reduced functionality due to maintenance, system upgrades, technical failures, telecommunications or internet disruptions, failures or interruptions of third-party service providers or infrastructure, cybersecurity incidents, force majeure events, or other circumstances beyond DoLegal's reasonable control.

DoLegal does not guarantee that the Platform will be available at all times or operate without interruptions or errors. However, DoLegal shall use reasonable efforts to restore any affected Services within a reasonable period of time.

3.3. Customer Dependencies

You agree to fulfill all basic administrative requirements, system configurations, and cooperation steps needed for us to deliver the services. If our performance is blocked or delayed because of your system omissions, delays, or lack of cooperation, DoLegal will not be considered in breach of this agreement.

3.4. System Maintenance and Feature Updates

DoLegal reserves the right to modify, update, improve, suspend, or discontinue any functionality of the Platform at any time, including for technical, security, operational, legal, or business reasons.

Where a modification materially affects the applicable Terms or materially changes the scope or conditions of the Services provided to Consumers, DoLegal shall notify the affected Consumers at least 15 days prior to the effective date of such modification, unless a shorter period is required due to applicable law, security, or other circumstances that reasonably require immediate action.

If a Consumer does not wish to continue using the Services following such material modification, the Consumer may terminate the Agreement in accordance with the applicable termination procedure without being required to continue the use of the affected Services beyond the effective date of the modification.

4. Fees and Payment

4.1. Payment Obligations

You agree to pay the subscription fees, user seats, and processing rates detailed in your specific online Subscription Plan or signed Order Form (Fees).

4.2. Pricing Transparency

The terms and conditions applicable to each Subscription Plan, together with the final price payable for the respective plan, including all applicable taxes and mandatory charges, shall be clearly displayed on the Platform.

4.3. Payment Processing and Mechanics

  • Online Checkout and Credit Cards: Online subscriptions are automatically billed in advance using your saved credit card or corporate payment profile. These charges recur automatically at intervals matching your chosen billing cycle. Corporate or business users who register online can access and download formal tax receipts directly from their account profile for accounting purposes.
  • Manual Enterprise Invoicing: If we explicitly agree to manual invoicing under a custom corporate tier, invoices will be generated around the Effective Date and near the anniversary of each Agreement year. You must settle these invoices in full via bank transfer within the specific payment window written on the invoice or Order Form.

4.4. Full Net Payments

All financial transactions must be paid to us in full without any deductions, line-item offsets, or cross-claims unless required by law. If you are a corporate user legally mandated to perform a tax withholding, you must increase the total payment sent to us so that the net balance received by DoLegal matches the full fee originally owed.

4.5. Penalties for Delinquent Accounts

If an account balance remains unpaid 14 days after we issue a late payment notification:

  • DoLegal may temporarily lock your user profiles and suspend system access; and
  • We may apply interest charges to the overdue balance. This interest accumulates daily from the original due date until paid in full, calculated at either 1.5% per month (18% per year) or the maximum legal rate allowed by your local jurisdiction, whichever is lower.

4.6. Usage Thresholds and Adjustments

You must operate within the specific resource limits (such as user seats or document processing volumes) purchased under your active plan. If your company's usage surpasses those metrics, you are required to upgrade your underlying subscription tier. Custom software add-ons or specialized enterprise modules can be attached via separate, mutually agreed order documents.

4.7. Automatic Subscription Adjustments

The subscription fee may change where the Subscription is offered on a trial, temporary, or other special basis, upon expiry of which the standard fee applicable to the respective Subscription shall apply. Information regarding such terms, their duration, and the applicable fee following their expiry shall be clearly displayed on the Platform at the time the Subscription is purchased.

By purchasing the Subscription, the Customer confirms that it has reviewed and agreed to the applicable terms displayed on the Platform, including the fee applicable following the expiry of any trial or temporary terms.

4.8. Tax Reporting and Compliance

DoLegal reserves the right to share financial transactions, billing details, and related customer corporate data with relevant tax authorities and financial auditors to comply with local and international tax reporting laws.

5. Special Terms for Individuals (Consumers)

In the event of any conflict between this Section and any other provision of these Terms, the provisions of this Section shall prevail only to the extent necessary to ensure compliance with mandatory consumer protection laws and shall not be construed as limiting or excluding any mandatory rights or guarantees granted to Consumers under applicable law.

5.1. Your Right to Change Your Mind (14-Day Cooling-Off Period)

The Consumer shall have the right to cancel the Subscription within 14 days from the initial purchase of the Services, in which case the Consumer shall be entitled to a refund of the fees paid for the Services that have not been provided.

After the expiry of the 14-day period, both the Consumer and the Customer may cancel the Subscription by sending the corresponding notice to DoLegal. In such case, the Subscription shall be terminated and shall not be renewed for the following billing period, and the respective Subscription Plan shall not be activated for the following month or other subsequent billing period.

Following the expiry of the 14-day period, any Subscription fees already paid as of the date of cancellation, or any part thereof, shall be non-refundable.

5.2. Protection Against Sudden Price Changes or Modified Terms

While we occasionally need to update our terms or features, if we make a change or raise prices in a way that materially disadvantages you:

  • We will give you at least 30 days advance notice via email.
  • If you do not accept our new pricing or updated terms, you can cancel your subscription immediately before the changes go live.
  • If you cancel because of a material change, we will issue you a pro-rata refund for any prepaid, unused fees remaining on your billing cycle.
  • If you continue to use the platform after the effective date of the changes, or if you do not send an explicit email request to cancel your subscription before that date, you will be deemed to have fully accepted the updated terms and new pricing.

If the Consumer does not wish to continue using the Services as a result of such changes, the Consumer shall have the right to terminate the Subscription before the changes take effect, without any additional fee or penalty arising from such changes.

5.3. Software Quality Standards and Your Liability Cap

Our Quality Promise: We promise that our platform will operate with reasonable care, fit its stated purpose, and meet satisfactory digital content standards as expected by consumer law.

No Unfair Liability Exclusions: The extreme disclaimers and absolute liability limits found in Clause 10 and Clause 11 will not apply to you if they conflict with your local mandatory consumer laws. We do not limit our liability for things that cannot be legally disclaimed, such as gross negligence, fraud, or statutory remedies for broken digital files.

5.4. Official Online Dispute Resolution (For EU/UK Users)

If you have a dispute that our support team cannot resolve, individual consumers residing in the European Union have the right to file an official consumer complaint through the European Commission's Online Dispute Resolution (ODR) portal at: https://ec.europa.eu/consumers/odr

5.5. Conflict of Provisions

Except where they directly conflict with the provisions of this Section 5, all other sections and provisions of these Terms shall apply fully to individual consumers. In the event of any contradiction or inconsistency, the terms of this Section 5 shall strictly prevail and take precedence.

6. AI Features and Electronic Signatures

6.1. Nature of Automated Tools and Human Review

The Platform's AI functionalities are intended to support the creation, analysis, and summarization of legal and contractual content, the identification of risks, and other related processes.

The outputs generated or provided through the AI functionalities are produced by automated means and may contain inaccuracies, omissions, or other errors. Such outputs do not constitute legal advice, a legal opinion, or a substitute for professional advice in relation to any specific matter.

The Customer is responsible for reviewing and verifying any outputs provided by the AI against the relevant facts, documents, and applicable legal requirements and, where necessary, obtaining professional review before taking any legal, contractual, or other material action based on such outputs.

DoLegal does not warrant or guarantee that any output provided by the AI will be complete, accurate, up to date, or applicable to any particular legal situation.

6.2. Restrictions on Machine Learning Training Data

Unless we explicitly agree otherwise in a signed writing, DoLegal will not use your private Customer Data to train our public or shared general-purpose AI models, unless you voluntarily opt in to data sharing via your platform account settings.

DoLegal processes and uses the Customer's personal data and other confidential information for the purposes of developing and improving AI systems, models, and services only in accordance with applicable laws and regulations, the Data Processing Agreement (DPA) entered into with the Customer, the Privacy Policy, and the terms applicable to the Customer.

The detailed terms and conditions governing the use, retention, deletion, and processing of the Customer's data for the relevant purposes are set forth in the DPA and the Privacy Policy.

6.3. Electronic Signature Authentication Methods

Because document signatures are executed solely through pre-verified user profiles, logging into the platform with unique credentials or authenticated session tokens serves as the technical verification of that signature. Both parties agree that a signature applied through a validated account creates a legal presumption that the registered account holder is the actual individual who authorized and executed the document. Where a document is signed or any other legally significant electronic action is performed on the Platform, DoLegal shall, to the extent technically feasible and in accordance with applicable law, retain the relevant technical records relating to such action (the "audit trail"), which may include the identification data of the User or signatory performing the action, the date and time of the action, the identifier of the relevant document or transaction, the method by which the action was performed, as well as technical data evidencing the integrity and unaltered state of the document.

6.4. Compliance with eIDAS Regulations

The Platform may provide electronic signature and electronic confirmation tools. The legal validity, evidentiary value, and applicability of an electronic signature or confirmation executed through such tools shall be determined in accordance with the laws applicable to the relevant transaction or document and the formal requirements prescribed for such document.

6.5. Customer Responsibility for Signature Sufficiency

DISCLAIMER: While our platform provides an eIDAS-compliant framework and verified user access, the Customer assumes sole responsibility for verifying if a Simple Electronic Signature (SES) is legally sufficient for their specific agreement type, regulatory environment, or jurisdiction. Please note that certain high-stakes documents — such as wills, trusts, deeds, or powers of attorney — typically require physical signatures or notarization to be valid. While you are highly encouraged to use our AI tools to draft, edit, and improve these specialized documents, we advise against using our e-signature feature to execute them. DoLegal does not promise that an SES will satisfy strict local laws requiring higher-tier authentication, nor do we guarantee that electronic signatures are legally binding for every specific category of legal document or in every global court.

6.6. Authority and Capacity Safeguards

DISCLAIMER: Our system confirms that a signature originates from a specific, validated email profile, but DoLegal does not physically verify a user's real-world identity, corporate signing authority, or legal capacity.

6.7. Commercial Risk Allocation for Document Execution

The Customer shall be responsible for the content of the document, the appropriateness of executing the document, compliance with the legal requirements applicable to the document, the necessary authority of the signatory, and compliance with the formal requirements applicable to the relevant transaction.

7. Intellectual Property

7.1. Ownership of Inputs and Automated Outputs

As between both parties, you (or your licensors) retain complete ownership of all intellectual property rights in the data you input into the platform (Customer Data) and any files generated from it, including AI Outputs. DoLegal hereby assigns any rights it might theoretically hold over your AI Outputs directly to you.

7.2. System Processing License

You grant DoLegal a worldwide, non-exclusive, royalty-free license to access and process your Customer Data solely to run and maintain the platform services. Any machine learning or automated adjustments will be limited exclusively to your own siloed Customer-Specific Model, which will be completely deleted within 60 days of Agreement termination.

7.3. Provider IP Rights

DoLegal (or our licensors) retains exclusive ownership of all intellectual property rights in the services, the underlying software, any system modifications, and the DoLegal brand name and corporate logo.

7.4. Use of User Suggestions and Feedback

If you provide DoLegal with suggestions, feature requests, or other feedback, you agree that DoLegal may use such suggestions without any obligation to compensate you or assume any other obligation towards you.

The use of feedback provided by the Customer may include its analysis, reproduction, modification, enhancement, and use for the development and improvement of DoLegal's Platform, Services, functionalities, or technological solutions.

7.5. Use of the Customer's Name, Logo, Trademark, and Other Identifying Information

DoLegal may use the Customer's name, logo, trademark, or other information identifying the Customer for public, advertising, or marketing purposes only with the Customer's prior and explicit consent.

Such consent shall not be deemed to form part of the acceptance of these Terms and shall be obtained separately through a dedicated pop-up window, checkbox, or other clear affirmative action provided on the Platform.

The Customer shall have the right, at its discretion, to provide or withhold such consent. Withholding consent shall not affect the Customer's right to use the Platform or Services.

The Customer may withdraw its consent at any time by sending a corresponding notice to DoLegal. Withdrawal of consent shall not affect the lawfulness of any use carried out prior to such withdrawal.

7.6. Non-Uniqueness of AI Outputs

DISCLAIMER: The Customer acknowledges that AI-generated responses are not inherently unique. Other users may prompt the platform with similar queries and receive identical or heavily overlapping outputs. Responses generated for other users do not constitute your Customer Data, and your ownership rights under Clause 7.1 do not extend to their outputs.

8. Rules and Conditions of Platform Use

8.1. Your Mandatory Obligations

You must:

  • Cooperate reasonably with us and share necessary setup configurations or security access details required to deliver the services.
  • Abide by all local and international laws while using our platform.
  • Secure and maintain all necessary permissions, legal consents, and corporate rights required to process your data.
  • Protect your account credentials from unauthorized access and notify DoLegal immediately if you suspect a security breach.

8.2. Strictly Prohibited Actions

You must not:

  • Copy, modify, decompile, reverse-engineer, or attempt to extract the source code of the platform.
  • Access our services for the purpose of engineering, designing, or launching a competing product.
  • Share individual login credentials among multiple employees or use generic team accounts to avoid purchasing additional user seats.
  • Input unencrypted payment card details (PCI data) directly into open text fields within the platform.
  • Use automated scripts, bots, or scrapers to extract data or spam the AI features. We reserve the right to rate-limit or temporarily throttle your account if your infrastructure demands threaten platform stability.
  • Use our platform to store, share, or transmit computer viruses, malware, unlawful materials, or offensive content.
  • Process the personal data of minors below the applicable age of digital consent in the relevant jurisdiction, unless such processing is permitted by applicable law and, where required, the consent of a parent or other legal representative has been obtained.
  • Misrepresent AI-generated text or Agreements as being completely drafted by a human.

8.3. Right to Suspend for Abuse

DoLegal reserves the right to immediately suspend your account access or delete offending files if you violate any of the rules listed in this Clause 8.

8.4. Customer Backup Obligations

DISCLAIMER: While DoLegal performs routine platform backups for overall disaster recovery and business continuity, the Customer is required to maintain its own independent backups and data export schedules (such as manual text exports) in accordance with sound industry practices.

9. Comprehensive Legal Disclaimers

9.1. No Legal Practice

DoLegal is a technology company, not a regulated law firm. Our employees do not act as your legal counsel and do not provide legal advice. Using this platform does not create an attorney-client relationship between us.

9.2. Compliance with Agreement Formalities

The Customer assumes full responsibility for ensuring that its Agreement workflows on the platform comply with all relevant corporate formalities, regional rules, and industry regulations. DoLegal is not liable for errors inside your custom Agreement text, nor are we responsible for determining which legal protocols govern how you sign, store, or delete your documents.

9.3. Platform Interruptions

DoLegal does not warrant or guarantee that your use of the platform will be entirely uninterrupted, secure, or free from operational errors.

9.4. Network and Internet Vulnerabilities

DoLegal is not liable for data loss, delivery failures, or system delays caused by disruptions on third-party communication networks, including general internet infrastructure. You acknowledge that cloud services are naturally prone to occasional network lag, latency, and connectivity dropouts.

9.5. Data Quality and Authenticity

We do not monitor or control the specific files uploaded to our system. DoLegal offers no warranties or representations regarding the accuracy, completeness, legality, reliability, quality, or structural originality of any Customer Data or user-uploaded files.

9.6. Third-Party Data Disruption

DoLegal is not responsible for the destruction, loss, alteration, or unauthorized disclosure of Customer Data caused by outside third parties, unless those parties were explicitly hired by us to provide core data storage or backup services.

9.7. Warranties and Liability

The Customer shall be responsible for its business outcomes resulting from the use of the Platform and for any legal conclusions reached on the basis thereof. DoLegal shall not be liable for any damages arising from incorrect, incomplete, or improper instructions provided by the Customer, or from inaccuracies or omissions in any information or documents provided by the Customer.

The Platform and Services are provided on an "as is" and "as available" basis, subject to the terms, conditions, and limitations set forth in these Terms and under applicable law.

Nothing in these Terms shall limit, exclude, or reduce any mandatory rights, warranties, or remedies afforded to the Customer or Consumer under applicable law, including rights and warranties provided under mandatory consumer protection laws.

10. Indemnities and Liability Caps

The following provisions set forth the entire financial and legal liability of the parties, including absolute disclaimers and limitations of liability, and should be reviewed carefully:

10.1. Provider's Intellectual Property Protection

DoLegal will defend and protect you against third-party lawsuits alleging that our platform infringes an external party's intellectual property rights. To use this protection, you must notify us immediately of any claim, hand over sole control of the legal defense to us, and ensure the claim wasn't caused by your own unauthorized software modifications or combinations with outside apps. This IP protection does not apply to any claims arising from Customer Data, custom templates uploaded by you, or instructions provided by you to our AI features.

10.2. Customer Indemnity

You agree to defend and hold DoLegal harmless against any third-party legal claims, losses, or costs arising from your misuse of the platform, your violation of these terms, or allegations that your Customer Data infringes someone else's privacy or intellectual property rights. This provision shall not apply to any claims arising from DoLegal's acts or omissions, any breach by DoLegal of its obligations under these Terms or applicable law, or any improper processing of data by DoLegal.

10.3. Financial Caps on Liability

Subject to the special consumer protections detailed in Section 5, each party's total maximum liability to the other during any single Agreement Year is strictly limited to 100% of the total subscription fees you paid or owe to DoLegal during that specific Agreement Year. This limitation of liability shall apply only to the extent permitted by applicable law and shall not limit or exclude any rights, warranties, or remedies guaranteed to the Consumer under applicable law where such limitation or exclusion is not permitted by contract.

10.4. No Cap Expansion

The 100% financial cap outlined in Clause 10.3 cannot be expanded or bypassed by late payment interest, court costs, attorney fees, or statutory interest payments awarded by a judge or arbitrator.

11. Notices and Deemed Receipt Mechanics

11.1. Official Contact Methods

All formal legal notices under this Agreement must be written in English. Notices to DoLegal must be sent to info@dolegal.ai, and notices to the Customer will be sent directly to the email address linked to your digital account.

11.2. Legal Timeline for Received Notices

Notices are legally recognized as having been delivered according to the following strict timelines:

  • Hand Delivery: Effective the exact moment the document is left at the recipient's proper registered address (subject to signed proof of physical receipt).
  • Next-Day Delivery Service: Effective at 9:00 AM local time on the second business day after posting or dispatch in the location of receipt.
  • Email Transmission: Effective the moment the email is sent. However, if an email is sent outside standard working hours (9:00 AM to 5:00 PM) on a business day in the recipient's location, the notice will be legally recognized as received at 9:00 AM on the next business day.

12. Confidentiality

12.1. Guarding Private Information

The parties should only share private corporate information with each other when it is strictly necessary to run and support the platform.

12.2. Standard of Care for Secrets

The party receiving confidential information must keep it completely private, protect it from unauthorized disclosure, and apply security measures that are at least as strong as the protections they use for their own highly sensitive records (and never less than a reasonable standard of administrative care).

12.3. Allowed Disclosures

The receiving party may share confidential information with its core employees, directors, professional legal/financial advisors, and trusted third-party service providers (such as IT hosting partners, cloud infrastructure providers, and subcontractors) who absolutely need to know it to run, support, or maintain the platform services, provided those individuals and entities are bound by matching confidentiality rules. Information may also be shared with tax authorities, auditors, or other corporate bodies as required to comply with applicable laws, or if required by a mandatory, binding court order or government regulation.

13. Additional Legal Terms

13.1. Entire Agreement

This written text represents the absolute and entire Agreement between both parties regarding the platform. It completely replaces, cancels, and overrides any previous conversations, verbal promises, promotional letters, or preliminary agreements between us.

13.2. Non-Reliance on External Statements

Each party acknowledges that they did not rely on any external statements, sales pitches, or representations (whether made accidentally or carelessly) that are not explicitly written down within this document.

13.3. How Terms Can Be Changed

No changes to this agreement are legally valid unless they are written down and either:

  • Signed by authorized representatives of both parties; or
  • Published by DoLegal on our official website or displayed via a prominent notification banner inside the account dashboard upon the next login of your Workspace Administrator or an authorized corporate user. If your organization continues to access or use the platform services after such notice has been displayed to an administrator, your continued use constitutes your company's absolute and legally binding acceptance of the updated terms.

13.4. No Implied Waivers

If either party fails to immediately enforce a right or delay checking a violation under this Agreement, it does not mean they have waived their right to enforce that rule or any other remedy in the future.

13.5. Severability of Broken Clauses

If a judge or arbitrator finds that a specific sentence or section of this Agreement is illegal or unenforceable, that part will be modified to the absolute minimum extent necessary to make it legal and valid. If it cannot be fixed, the broken section will be deleted entirely, and the remaining parts of this agreement will stay fully active and enforceable.

13.6. Third-Party Restrictions

This Agreement is strictly between you and DoLegal. No outside person or external entity has any right under the Agreements to enforce these terms.

13.7. Force Majeure (Uncontrollable Events)

Neither party will be blamed for system delays or performance failures caused by major events beyond their reasonable control, such as natural disasters, grid failures, internet routing collapses, civil unrest, or acts of God.

13.8. Agreement Assignment Restrictions

You are not allowed to transfer, assign, or hand over your rights under this agreement to another person without our prior written approval, unless you are transferring the Agreement as part of a corporate restructuring, company sale, or corporate merger.

13.9. Governing Law and Legal Venue

The law applicable to these Terms and to any relationships arising out of or in connection with these Terms shall be determined in accordance with the applicable conflict-of-laws rules and international legal instruments.

Nothing in these Terms shall limit or exclude any rights, warranties, or remedies afforded to the Consumer under applicable law, including mandatory provisions relating to consumer protection.

The jurisdiction over any disputes arising out of or in connection with these Terms shall be determined in accordance with the applicable conflict-of-laws and procedural rules.

13.10. Dispute Resolution and Complaints

DoLegal maintains an internal procedure for handling and resolving complaints, claims, and disputes arising out of or in connection with the Services.

Users are encouraged to first contact DoLegal in order to seek an amicable resolution of any complaint or dispute. Complaints may be submitted by email or through the contact details provided on the Website and should include a clear description of the matter, the relevant circumstances, and, where applicable, any supporting information or documentation.

Upon receipt of a complaint, DoLegal will review the information provided and may request additional information or documentation where reasonably necessary for the proper assessment of the matter. DoLegal will use reasonable efforts to review and respond to the complaint within a reasonable period of time, taking into account the nature, complexity, and circumstances of the matter.

Where a complaint requires additional time for review or investigation, DoLegal may extend the time required to provide a substantive response and will, where appropriate, inform the User of the expected timeframe for responding.

DoLegal will communicate the outcome of its review to the User through the contact details provided in the complaint or otherwise available to DoLegal.

The internal complaints procedure is intended to facilitate the prompt and amicable resolution of disputes and does not limit or otherwise affect any rights, remedies, or means of redress available to the User under applicable law.
